Terms and Conditions of the Innovation Center Platform
1. Contractual Relation
1.1 These terms and conditions (&quot;Terms&quot;) shall govern your utilization of the Innovation Center platform, which is an electronic platform owned by Management and Development Company for Human Resources, Unified Establishment No. (7001767040), VAT Registration No. (300862168600003), whose address is: Northern Ring Road – Al Nafal District – Riyadh – Kingdom of Saudi Arabia, Short Address: (RALA3292) (hereinafter referred to as &quot;The Company&quot;), which allows you (hereinafter referred to as &quot;The User&quot; or &quot;You&quot;) to use the Innovation Center platform owned by the Company (hereinafter referred to as the &quot;Platform&quot;).
1.2 The Company shall own all contributions, ideas, methods, software and inventions that are not legally registered with any governmental agency and entered by the User (&quot;Inputs&quot;) on the Platform. The Company shall be completely free to act upon, employ, exploit, or utilize the aforementioned Inputs in any manner, or sell, assign or publish them through any media or electronic medium or platform.
1.3 The User is not allowed to use any external resources to support The User in providing Inputs to the Platform without obtaining the Company's prior consent.
1.4 In case there is evidence of The User violating intellectual property rights, copyrights or any other third-party rights, or upon The User's violation of any law or decision issued by a competent authority, or any condition provided herein, then The Company shall exclude any Inputs provided by The User. The Company shall reserve the rights to take all legal actions available for the Company to ensure that any and all rights or compensations due to the Company as a result of such violation are preserved.
1.5 The User is obliged not to share, copy, duplicate, or quote Inputs of another user without the Company's relevant written consent.
1.6 Your use of the Platform constitutes your consent (The User) to these Terms which creates a contractual relation between You and The Company. Accordingly, you must not use the Platform if You do not agree to these Terms.
1.7 The Company shall reserve the right to amend or change these Terms at any time without prior notice, where You, as a User of the Platform, shall assume responsibility to review the Terms periodically to be aware of the updates occurred to the Terms. Accordingly, Your continuous utilization of the Platform shall be considered as your acceptance to the Terms as amended.
1.8 The Company shall reserve the right to suspend or cancel The User's access or utilization of the Platform at any time and without prior notice.
1.9 Some supplementary terms and conditions may apply to the Platform, such as policies related to an event or activity, etc. The supplementary terms shall prevail in case of a conflict between such supplementary terms and these Terms.
1.10 The Company may collect and use personal data in relation to the Platform in accordance with the Company's policies and procedures. The User agrees that The Company may use such data or information, or may provide them to entities that request such data and information in case The Company is required to do so in accordance with the requirements of the law.
1.11 All ideas included in the Platform shall become automatically a property of The Company without remuneration to The User.
1.12 The Company is not obliged to review all ideas or Inputs provided by the Users.
1.13 Invalidity of any of the Terms does not affect validity of the remaining Terms.
1.14 Kindly read these Terms carefully before using the Platform.
2. Entitlement to Obtain Services of the Platform
2.1 The User shall declare and guarantee that:
<ol>
<li> The User was not previously suspended or prevented from using the Platform at any time.</li>
<li> The User has full capacity and competence to contract, and The User shall accordingly not be in breach of any law, contract or legal obligation.</li>
</ol>
3. Representations and Guarantees
3.1 The User shall declare and guarantee that:
<ol>
<li> The User shall comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.</li>
<li> The User shall provide and update correct and accurate information to The Company periodically whenever a change occurs to such information or upon the Company's request.</li>
<li> The User shall review and comply with any notices sent by The Company on The User's utilization of the Platform.</li>
<li> The User shall use the information, contents or any data obtained or acquired thereby through the Platform only for the purpose of personal utilization. The User shall use the Platform exclusively for the purposes approved by The Company, and shall not sell the same to any third party.</li>
<li> The User shall not use the Platform to cause harm, harassment, or inconvenience to any person, entity or party.</li>
<li> The User shall not try to damage the Platform in any manner.</li>
<li> The User shall not obstruct the proper operation of the Platform or any systems associated with the Platform.</li>
<li> The User shall not copy or distribute any of the contents of the Platform without prior written permission of The Company.</li>
<li> The User shall securely and confidentially maintain their password for their account as well as any means of identification provided by The Company to The User, which allow access to its account on the Platform.</li>
<li> The User shall maintain confidentiality of the data and information that The User shall obtain when using the Platform, whether concerning The Company, customers, products, etc., and The User shall not disclose the aforementioned data and information to any party other than The Company.</li>
<li> The User shall provide The Company with all evidence proving The User's identity, according to the Company's discretion.</li>
<li> The User is aware that The Company is entitled at any time to reject The User's usage of the Platform without providing reasons for doing so.</li>
<li> The User is aware that the Platform and all contents therein (for example, but not limited to: systems, technical specifications, methods, technologies, trademarks, trade names, ideas and information) are the property of The Company or the authorized persons of The Company, and The User is not allowed to claim ownership of the Platform, or ownership of its contents, or any other claims regarding the items above other than what is stipulated herein these Terms.</li>
</ol>
4. Scope of License
4.1 The Company grants The User a limited, non-exclusive, non-transferable, non-assignable, and non-sublicensable license to benefit from the Platform, and to use the Platform only for the purpose intended by The Company in accordance with the Terms herein. Therefore, The User shall:
<ol>
<li> Follow the Company's instructions related to the Platform, as well as how to activate it and use it to benefit from it.</li>
<li> Not allocate, resell, distribute, or sublicense or authorize any party regarding the Platform's services or make said services available to any third party.</li>
<li> Not modify, subtract, translate, summarize, or create a sub-work based on deciphering or reverse engineering the design of the Platform, or otherwise specifying or trying to determine or attempting to access the source code or the internal design of the Platform or any text or multimedia images (images, audios, video files) or data or other information provided by The Company or third-party service providers for the Platform.</li>
<li> Not delete, change or amend any copyright, other notices or data contained in the Platform.</li>
<li> Not intentionally transmit or distribute the contents of the Platform or allow them to be downloaded for utilization other than what is specified herein in these Terms.</li>
<li> Not allege granting or allowing access to the Platform's contents or services to anyone other than The User.</li>
<li> Not allow sharing the username, password, or other access credentials to the Platform.</li>
</ol>
4.2 The Company is entitled to use the Platform in whatever manner The Company deems appropriate, under any other trademark, and with any third party.
5. Remuneration
5.1 Upon The User's consent to these Terms and usage of the Platform, The User agrees to defend and not to harm The Company and its affiliates, licensors and all officers, and directors thereof as well as other users, employees, lawyers and agents, in addition to releasing their liability from any claims, costs, damages, losses, responsibilities and expenses (including but not limited to attorneys' fees and costs) that may arise from or related to the following:
<ol>
<li> The User's breach or violation of any of these Terms, or any applicable law or regulations, whether referred to herein these Terms or not.</li>
<li> The User's violation of any third-party rights, including other users of the Platform.</li>
<li> The User's use or misuse of the Platform or its services.</li>
<li> Any damages arising from The User's utilization of the Platform.</li>
</ol>
6. Intellectual Property
6.1 Contributions sent to the Platform as well as the Inputs are owned by and at the disposal of The Company. The Company shall have the right to utilize, adopt, modify or develop these Inputs.
6.2 The Company shall maintain detailed files and information for participants in the Platform or tenders offered on the Platform or sent by email.
6.3 In accordance with Article 1.2 above, the User acknowledges the right of The Company to use contributions and Inputs in all promotional and advertising activities in all forms, media or other uses or dispositions.
6.4 Details of contribution or Inputs and all information provided by the User to the Platform must be personal and owned by him/her. The User acknowledges that contributions and information provided do not violate the intellectual property laws or private rights of any third party whether natural or legal persons, and said contributions and information provided to the Platform do not include any offense, abuse, slander, libel, threat or any prohibitions forbidden by Saudi law. Moreover, The Company has the right, at its absolute discretion, to dismiss and exclude the contribution that it deems inappropriate or that represents a breach of law, community customs or traditions, as well as to take legal action against the User and request compensation for any damage to the Platform or The Company accordingly.
6.5 The Company does not guarantee the intellectual property rights claimed by the User or provider of contributions or Inputs. In addition, The Company shall not assume legal responsibility if the Inputs provided by the User violate any rights of any registered intellectual property.
7. Legal Liability
7.1 The Company will as much as possible keep the validity and update of the Platform and contents thereof, but does not guarantee that the Platform's contents are free of errors, defects, malware and viruses.
7.2 The Company shall not be liable for any damage caused by the use or inability to use the Platform, including damage caused by malware or viruses. In addition, The Company shall not be liable for inaccuracy or incompleteness of the information unless such damage is caused by the Company's willful misconduct or gross negligence.
7.3 The Company shall not be liable for any damage caused by the use or inability to use electronic means of communication with the Platform, including but not limited to, damage caused by non-delivery, loss, late delivery, interception or manipulation of e-correspondence by third parties or by computer programs used for e-correspondence and virus transmission.
7.4 The Company shall accept no responsibility for any acts, actions, conduct, negligence or all of the foregoing items on the part of the User.
7.5 The Company shall bear no liability, costs, burdens or fees concerning contribution for purposes and services of the Platform.
7.6 The User shall not transfer his/her liabilities hereunder to any other party before obtaining the Company's prior written consent.
7.7 The User acknowledges to assume sole and full responsibility for the privacy of Platform contents, and shall be solely responsible for using the Platform by anyone else using the User's account, username, password, and/or access credentials.
7.8 The Company shall not provide any express or implied guarantees relating to the Platform or the ideas presented by participants or Inputs on the possibility of its success, continuity, use or development.
7.9 The Company clearly disclaims its liability, to the greatest extent possible under the law, for all guarantees, including, but not limited to, guarantees of appropriation to a particular purpose and appropriation to certain specifications and markets.
7.10 The Company does not guarantee accuracy or content of results that the User may or may not receive.
7.11 In no case shall The Company, its agents, licensing parties or subsidiaries be responsible for direct or indirect damage, sanctions, special damages, or incidental or consequential damages (including but not limited to profits loss, business failure, loss of business information or other financial losses) arising directly or indirectly from the use, failure to use or dependence on the Platform.
8. Modification to Platform
8.1 The Company shall retain its sole right and willingness, according to its absolute discretion, to change or modify the Platform, fees or any related articles and/or to cease publication of its services. The User's continuous use of the Platform shall be deemed an approval of such changes, modifications or cessations.
8.2 The Company may restrict certain Platform-related services or restrict the User's access to parts of Platform services or the entire Platform without notice or responsibility.
9. Security
9.1 The User acknowledges being solely responsible for the privacy of the Platform's services, and shall be solely responsible for using the Platform by anyone else using the User's account, username, password, or access credentials.
9.2 The User agrees to notify The Company if he/she becomes aware of any loss, theft or unauthorized use of any password, username, IP address, or other Platform access methods.
10. Contract Duration and Termination
10.1 The Company may terminate this contract with immediate effect at any time by disabling the User's access to the Platform, if the User:
<ol>
<li> Violates or breaches any of these Terms.</li>
<li> If The Company thinks that the User is abusing the Platform.</li>
</ol>
10.2 The Company is not obliged to deliver a prior notice of termination.
10.3 The Company may use the ideas, Inputs and contributions available on the Platform after the termination of this contract.
10.4 The User and the Company's contractual status shall be created after the User accepts the Terms or accesses the Platform.
11. Governing Law and Disputes Resolution
11.1 These Terms shall be governed and interpreted in accordance with Saudi Arabia's laws. In case of any dispute or conflict, it shall be settled by the competent courts of Riyadh, Saudi Arabia.
12. Language
12.1 These Terms are written in both Arabic and English languages. In case of discrepancy or inconsistency between the two languages, the Arabic language shall prevail.
